Strategic Synergy: Restoring Balance Between Boards and CEO's
In an ideal association, the balance of power between the non-executive Board of Directors (BOD) and the CEO or Secretariat is perfectly aligned: the BOD focuses on strategic direction, while the office executes these strategic targets in daily operations. This harmonious dynamic ensures that the association operates smoothly and effectively, with clear roles and responsibilities. However, shifts in power can disrupt this balance, leading to a range of complications. When the Board becomes overly involved in the day-to-day operations, it can stifle the efficiency and responsiveness of the CEO and staff. Conversely, when the CEO or Secretariat overshadows the Board, the strategic oversight and governance role of the BOD can be diminished, resulting in a lack of visibility and influence for the Board.
In this Talk, Jesse van Sas, Secretary General of FIDI, shares FIDI’s journey in re-establishing the balance of power within their association, highlighting the challenges they encountered and the solutions they implemented. He explains the causes and risks of power imbalance while also suggests preventive measures and ways to counter such issues.
